Action camera pioneer GoPro has reached a $285 million cash acquisition agreement with optical hardware company Starman Optical, ending a decade-long decline in the company's history since its 2014 IPO.

On September 1, GoPro announced that it had signed a merger agreement with optical transceiver manufacturer Starman Optical. GoPro shareholders will receive a cash acquisition price of $1.14 per share, a premium of approximately 30% over Monday's closing price.

GoPro founder and CEO Nicholas Woodman stated that the merger will drive GoPro's growth in the consumer, commercial, and defense markets, making it "a leading U.S. imaging and optics solutions company" with involvement in national security areas such as cameras, optics, and artificial intelligence infrastructure.

Following the acquisition, GoPro will remain a publicly traded company and will repay all of its $92 million in outstanding debt. Boosted by this news, GoPro's stock price initially surged by 80%, before recovering somewhat, but still closed up over 40%.

Under the terms of the agreement, GoPro shareholders will receive a total of $285 million in cash, or $1.14 per share.

The boards of directors of both companies have approved the transaction, which is expected to be completed by the end of this year, pending approval from regulators and GoPro shareholders.

The acquiring company, Starman Optical, is a privately held manufacturer of optical transceivers, producing core optical components that convert electrical signals into optical pulses.

The company is a subsidiary of Starman Holdings, a New York-based family-owned diversified conglomerate with businesses spanning technology, consumer brands, and real estate development.

In his statement, Starman CEO Charles Tebele emphasized the strategic logic behind the deal:

Advanced optics and imaging technologies are crucial for AI, national security, and the overall economy; however, much of the key hardware supporting these technologies is still manufactured overseas.

He stated that the merged entity would focus on relocating the production of the aforementioned key components back to the United States.

A Decade of Decline: From a Market Value of Tens of Billions to the Brink of Delisting

The recent stock price fluctuations began on Monday. Reports indicated that Mark Fischbach (known online as Markiplier), a YouTube creator with a large following, had acquired an 8.5% stake in GoPro, becoming the company's largest single shareholder. This news attracted significant market attention, and the stock price subsequently surged 43% that day.

The official announcement of the merger agreement on Tuesday further fueled the rally, with pre-market gains reaching 80%. For long-term investors who had held shares that were nearing worthless, the cash offer, based on a 30% premium, provided a clear exit price, significantly reducing uncertainty.

GoPro's stock price movement reflects the company's rise and fall.

After its IPO in 2014, the company's stock price once climbed to a high of $98. Since then, as smartphone camera capabilities have continued to improve, its market share has shrunk, and the stock price has fallen by about 99% over the past decade, reaching a low of around $0.60 earlier this week.

The financial data is equally alarming. GoPro's latest quarterly report, released last month, showed that its second-quarter revenue fell 31% year-over-year to $105 million, and its net loss widened 210% year-over-year to $51 million.

In May of this year, GoPro's board of directors announced that it was evaluating "a range of strategic alternatives," including a sale to the defense industry, and this acquisition agreement is the result of that exploration.
