Light engine secures major order: POET wins $50 million procurement contract, stock surges over 20% pre-market

On Thursday, Canadian photonic engine company POET Technologies reached a supply agreement with AI optical interconnect giant Lumilens, with Lumilens placing an initial photonic engine purchase order worth $50 million, marking the official commercialization phase of this wafer-level photonic integration technology focused on AI optical networks.

This purchase order targets photonic engines produced based on the jointly developed Electrical-Optical Interposer platform, marking the first phase of the supplier relationship between the two parties. The agreement indicates that cumulative purchases over the next five years may exceed $500 million.

After the announcement, POET Technologies' US-listed shares rose more than 20% in pre-market trading.

Engineering samples are expected to be delivered by the end of 2026, and mass production ramp-up will align with customer deployment in 2027. It is worth noting that the fulfillment of the purchase order and related revenue recognition still depend on successful module development and certification, as well as the effective expansion of manufacturing capacity.

Order Structure: Initial $50 million, five-year potential scale reaching $500 million

According to the agreement terms, Lumilens placed an initial purchase order for the manufacturing of photonic engines based on the Electrical-Optical Interposer platform, amounting to $50 million, marking the starting point of their supplier relationship.

The agreement also stipulates that with the cumulative progression of Lumilens’ follow-up purchase orders, the total scale of purchases over five years can expand to more than $500 million.

As a supporting arrangement of the agreement, POET granted warrants to Lumilens, allowing it to purchase up to approximately 22.92 million common shares at an exercise price of $8.25 per share within nine years. About 2.29 million shares can be exercised immediately, while the remaining shares will vest in batches according to Lumilens’ cumulative payments for future purchase orders.

Technical Path: Using wafer-level process to replace active alignment manufacturing

The core of the collaboration is the joint development of the Electrical-Optical Interposer platform, which integrates wafer-level photonic engine production, optical chipsets, and advanced manufacturing capabilities, aiming to replace traditional active alignment manufacturing processes in photonic engine production with wafer-level processing technology.

According to the multi-year technical roadmap, POET and Lumilens plan to deploy this platform in multiple application scenarios, from 800G and 1.6T pluggable transceivers to Near-Package Optics and Co-Packaged Optics, covering the core needs of AI optical networks.

Commercialization Timeline: Samples by end of 2026, mass production aligning with customer deployment in 2027

Engineering samples from the joint development project are expected to be launched by the end of 2026, with mass production ramp-up planned to synchronize with customer deployment cycles in 2027.

POET stated in the announcement that final fulfillment of the purchase orders and related revenue realization depend on successful module development and certification, as well as corresponding expansion of manufacturing capacity. Investors should pay attention to the uncertainties in these aspects of execution.
